Terms of Service

These Terms of Service explain the rules for using Selugor’s website and how we provide smart grid technology services. Please read them carefully. If you do not agree, do not use the site.

1. Acceptance and eligibility

By accessing or using the Selugor website (the “Site”), contacting us through forms, or otherwise interacting with our online materials, you agree to these Terms of Service (the “Terms”). If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

You must be at least 16 years old to use the Site. If you are under 18, you may use the Site only with the consent of a parent or legal guardian who agrees to these Terms. The Site is intended for business and technical audiences seeking information about smart grid technology and energy optimization services.

2. Services and scope

Selugor provides engineering-led services related to smart grid technology for energy optimization. This may include discovery workshops, integration audits, device and protocol mapping, data normalization, dashboard configuration, alarm routing, and the design of automated load balancing or dispatch logic for assets such as solar inverters, wind controllers, batteries, EV charging systems, meters, and related infrastructure.

The Site provides general information about our offerings and a way to contact us. Any detailed scope, deliverables, timelines, pricing, service levels, or acceptance criteria will be defined in a separate written agreement (such as a statement of work, professional services agreement, or master services agreement) executed by Selugor and the customer. If there is a conflict between these Terms and a signed customer agreement, the signed customer agreement will control for that engagement.

You acknowledge that energy optimization outcomes depend on site-specific conditions including available hardware, data access, utility constraints, tariffs, operational practices, and maintenance. We may provide estimates and planning guidance, but we do not promise that any specific savings, uptime, or performance outcome will be achieved.

3. User obligations

When you use the Site, you agree to do so lawfully and responsibly. You are responsible for ensuring that information you provide to us is accurate and that you have the right to share it. If you submit information about an energy site, device inventory, meter data, or diagrams, you represent that you have permission to provide that information and that doing so does not violate confidentiality obligations.

You agree not to misuse the Site in a way that interferes with its availability or security. If we provide accounts, portals, or restricted areas in the future, you agree to keep credentials confidential, use only one account per person (unless otherwise approved in writing), and notify us promptly if you suspect unauthorized access.

4. Intellectual property

The Site and its content, including text, graphics, layout, software, code, and trademarks (collectively, the “Content”), are owned by Selugor LLC or its licensors and are protected by applicable intellectual property laws. “Selugor” and related marks are trademarks of Selugor LLC.

Subject to your compliance with these Terms, Selugor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may not copy, reproduce, distribute, publicly display, modify, create derivative works of, reverse engineer, or otherwise exploit the Content except as explicitly permitted by law or by prior written permission from Selugor.

If you provide feedback, suggestions, or ideas about our services or the Site, you agree that Selugor may use them without restriction and without compensation, unless prohibited by law. This does not affect any separate confidentiality obligations under a signed agreement.

5. Prohibited activities

You may not use the Site to engage in or support unlawful, harmful, or disruptive conduct. Prohibited activities include, without limitation:

  • Attempting to gain unauthorized access to the Site, its servers, or related systems, including probing, scanning, or testing vulnerabilities.
  • Scraping, harvesting, or collecting data from the Site using automated means without our prior written permission.
  • Uploading or transmitting malware, malicious scripts, or any code intended to disrupt, damage, or interfere with systems or data.
  • Impersonating Selugor, our personnel, or another person or entity, or misrepresenting your affiliation.
  • Sending spam, bulk solicitations, or interfering with other users’ access to the Site.
  • Using the Site in a way that infringes intellectual property, privacy, or other rights of any third party.

We may investigate suspected violations and may suspend or block access to the Site as described in the Termination section. We may also report unlawful activity to appropriate authorities when required or appropriate.

6. Disclaimer of warranties

The Site and any Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Selugor disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.

Selugor does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information provided on the Site is complete, current, or accurate. Technical information on smart grid technology can change due to standards updates, vendor firmware changes, and regulatory developments.

Any decisions you make based on the Site are at your own risk. For engineering implementations, you should rely on site-specific assessments and professional review. Electrical work must be performed by qualified personnel and must comply with applicable codes and safety requirements.

7. Limitation of liability

To the maximum extent permitted by law, Selugor and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, business interruption, or substitute services, arising out of or related to your use of (or inability to use) the Site or Content, even if Selugor has been advised of the possibility of such damages.

To the maximum extent permitted by law, Selugor’s total direct liability for claims arising out of or related to these Terms or the Site will not exceed the amount you paid to Selugor for use of the Site in the twelve (12) months preceding the event giving rise to the claim, or one hundred euros (€100), whichever is lower. For clarity, the Site is generally provided at no charge; if you have not paid Selugor for access to the Site, the cap will be €100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot legally be limited, such as liability for fraud where applicable.

8. Indemnification

You agree to defend, indemnify, and hold harmless Selugor LLC and its officers, directors, employees, and contractors from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your infringement of any third-party rights.

Selugor may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense. You may not settle any matter without Selugor’s prior written consent if the settlement would impose any obligation or admission on Selugor.

9. Third-party links and services

The Site may reference third-party technologies, standards, or vendors that are commonly used in smart grid environments. If we link to third-party websites or services, those links are provided for convenience only. Selugor does not control third-party sites and is not responsible for their content, security, or privacy practices.

Your use of third-party sites and services is subject to the third party’s terms and policies. You should review them carefully, especially where access credentials, telemetry, or operational data may be involved.

10. Privacy

Selugor’s handling of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Site and submitting information, you acknowledge that you have read and understood the Privacy Policy.

If you contact us about a project, you should avoid sending sensitive information through the Site forms. If additional data is required for an engagement, we will discuss appropriate secure transfer methods and access controls under a separate agreement.

11. Governing law and venue

These Terms and any dispute arising out of or related to the Site will be governed by the laws of the State of New York, USA, without regard to conflict of law principles. You agree that, subject to the Dispute Resolution section below, the state and federal courts located in New York County, New York will have exclusive jurisdiction and venue for resolving any dispute, and you waive any objection to such jurisdiction or venue.

If you access the Site from outside the United States, you are responsible for complying with local laws and regulations that may apply to your use of the Site.

12. Dispute resolution

Before filing a formal claim, you agree to try to resolve any dispute informally by contacting Selugor at [email protected] and providing a brief description of the issue, relevant dates, and your preferred resolution. Selugor will attempt to respond within a reasonable period.

The parties agree to allow at least thirty (30) days from the date the dispute notice is received to attempt informal resolution. If the dispute is not resolved after that period, either party may pursue a claim in the courts specified in the Governing Law and Venue section, unless a separate signed agreement provides a different dispute process for a paid engagement.

13. Termination

Selugor may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, pose a security risk, or have engaged in conduct that could harm the Site, Selugor, or others. We may also restrict access to certain features or sections of the Site at our discretion.

Upon termination, your right to use the Site will cease immediately. The following sections will survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Venue, Dispute Resolution, and any other provisions that by their nature should survive.

14. Modifications to these Terms

Selugor may update these Terms from time to time to reflect changes in the Site, our services, or legal requirements. Updated Terms will be posted on this page with a revised “Last Updated” date. Unless a change must take effect sooner for legal reasons, changes will be effective fourteen (14) days after posting.

By continuing to use the Site after the effective date of updated Terms, you agree to the revised Terms. If you do not agree to the changes, you must stop using the Site.
